We, hereby with full corporate authority and Responsibility state on behalf of Our Principle

End Seller and hereby certify, represent and warrant that we are Ready, Willing and Able to

fulfill the requirements of this agreement and deliver the product. We hereby agree and

covenant as to honoring the following terms and conditions of this agreement as per the

International Chamber of Commerce ICC rules for International Trade, INCOTERMS Edition 2000.

* Product:     JP54 JET FUEL COLONIAL GRADE 54
* Origin:     Russia
* Quantity:     30,000.000 bbl +/- 5% (300.000.000 bbl total contract)+/- 5%
* Period:     12 month period (with extension/rollover possible)
* Quality:     Export Quality as in Appendix "1"
* Delivery:     CIF Rotterdam or Houston
* Fixed Price :     Usd$ 00 Gross / Usd$ 00 Net The target price varies according to the

amount of the order
* Commission: Usd$2,00 thus:
      Seller side Usd$1,00 (closed)
      Buyer side usd$1,00 (open)
* 5 Million bbl/Month x 12 Month     U$S 82/79.
* 10 Million bbl/Month x 12 Month     U$S 79/76.
* 20 Million bbl/Month x 12 Month     US$ 76/73.
* 50 Million bbl/Month x 12 Month     US$ 73/70.
* Commission to be paid by Seller for all intermediaries and Agents (as set out in then

Irrevocable Master Fees Protection Document- IMFPA/ICC-600), annexed to the Main Contract.
during Negotiation.
* Terms of Payment:
* Monthly Payment by Revolving Irrevocable, Divisible, Transferable, Confirmed Documentary

Letter of Credit (IRTDLC), from one of the S&P prime 25 Western World Banks for the entire

contract. 
* Performance Bond:
* The seller will issue a performance bond based on 2% of the value of one month delivery.
* The Performance Bond will be issued based on INCOTERMS ICC-500 after the Sellers Bank

receives the Operative, Irrevocable, Divisible, Transferable, Revolving, Documentary Letter

of Credit (IRTDLC) from the Buyer.
* Procedure
* Buyer send, LOI/ICPO with Full coordinates of the e-mail, phone/fax Business address,

target price.
* Buyer ICPO to be addressed to: Please contact us.
* 2) Seller sends FCO
 
* 3) Buyer accepts this FCO; signed and send FCO for the Seller, and BCL via Swift MT799 the

bank for Seller

                                                                        
* 4) Seller issue Draft Contract

* 5) Buyer accepts Terms and Conditions in Draft contract and completes the Draft
 
* 6) The  Seller send partial POP, via Swift MT799 the bank of Buyer
 
* 7) The Seller and Buyer sing and seal the Contract and exchange the Hard Copies via DHL /

FEDEX, after the Seller has accepted the verbiage of the letter of credit that will be issued

* 8) The Buyer send within 10 Banking days, per swift the pre-advise of the ilk for the

Sellers acceptance       
 
* 9) Buyer return signed contract and issue LC acceptable the Bank the Seller
 
 
* 10) Seller's bank verifies LC and place order for shipment
        
* 11) The sellers send Full POP via Swift MT799, and 2% PB acceptable the Bank for Buyer, 

will automatically activate the Letter of Credit 

 
* 12) Shipment as mentioned in the contract starts after mutually agreed delivery schedule

and continue until full quantity.

* Confirmation:
* The order is confirmed after the Seller receives and accepts the Irrevocable, Confirmed

Purchase Order (ICPO) & Pre-Advise DLC (irrevocable, confirmed, transferable & divisible

(IRTDLC) from the Buyer's bank and sent to the Seller's bank by bank Swift and the signed

contract from the Buyer.

* Buyer's documentation:
* Permit to Import, Signed End User Allocation and Import License from the authorities to

enter the Terminal. Other to be determined
