We, hereby with full corporate authority and Responsibility state on behalf of Our Principle End Seller and hereby certify, represent and warrant that we are Ready, Willing and Able to fulfill the requirements of this agreement and deliver the product. We hereby agree and covenant as to honoring the following terms and conditions of this agreement as per the International Chamber of Commerce ICC rules for International Trade, INCOTERMS Edition 2000.

* Product:     GASOIL D2 L 0.2-62 GOST 305-82
* Origin:     Russia
* Quantity:      Work with quotas, 1 and 5 million per month for 12 months, and rollover extension, +/- 5%
* Period:     12 month period (with extension/rollover possible)
* Quality:     Export Quality as in Appendix "1"
* Delivery:     CIF Rotterdam or Houston
* Fixed Price :     US$ XX Gross / US$ YY Net The target price varies according to the amount of the order
*
* 1 Million MT/Month x 12 Month     U$S 720/710.
* 5 Million MT/Month x 12 Month     U$S 680/670.
* 10 Million MT/Month x 12 Month     US$ 660/650.

* Commission: US$10.00:
* Seller side US$ 5.00 (Closed)
* Buyer side US$ 5.00 (Open)
* Commission to be paid by Seller for all intermediaries and Agents (as set out in then Irrevocable Master Fees Protection Document- IMFPA/ICC-600), annexed to the Main Contract during Negotiation.
* Terms of Payment:
Monthly Payment by Revolving Irrevocable, Divisible, Transferable, Confirmed Documentary Letter of Credit (IRTDLC), from one of the S&P prime 25 Western World Banks for the entire contract.

* Performance Bond:
* The seller will issue a performance bond based on 2% of the shipment value of one-month delivery.
* The Performance Bond will be issued based on INCOTERMS ICC-500 after the Sellers Bank receives the Operative, Irrevocable, Divisible, Transferable, Revolving, Documentary Letter of Credit (IRTDLC) from the Buyer.

* Procedures:
1. Buyer sends, LOI/ICPO with Full coordinates of bank and Business address, contact info including phone/fax, email and target price.
2. Buyer ICPO to be addressed to: Please contact us
3. Seller sends FCO
4. Buyer accepts this FCO; sign-seals and sends FCO back to the Seller, and also BCL/POF via SWIFT MT799 to the Seller Bank
5. Seller issues Draft Contract. 
6. Buyer completes the Draft and accepts Terms and Conditions in Draft contract by signing and endorsing the contract with company seal.
7. The Seller sends partial POP, via SWIFT MT799 to Buyer Bank.
8. The Buyer sends the Draft of Letter of Credit Verbiage and via email.
9. After the Seller accepts the verbiage of the Letter of Credit that will be issued by the Buyer to Seller, the Seller and Buyer sign-seals the Contract and exchange the Hard Copies via DHL / FedEx  and also provide the tracking number.
10. Within 10 Banking days the buyer sends pre-advise of the LC via SWIFT MT 799 for the Seller's acceptance.
11. Buyer issues Letter of Credit Via MT 760 to Seller Bank and confirms with TOP 25 Prime Banks in the World.
12. Seller's bank verifies LC and places order for shipment.
13. The seller sends Full POP via Swift MT799, and 2% PB acceptable the Bank for Buyer,  will automatically activate the Letter of Credit  
14. Shipment as mentioned in the contract starts after mutually agreed delivery schedule and continue until full quantity is delivered.
* Confirmation:
The order is confirmed after the Seller receives and accepts the Irrevocable, Confirmed Purchase Order (ICPO) & Pre-Advise DLC (irrevocable, confirmed, transferable & divisible (IRTDLC) from the Buyer's bank and sent to the Seller's bank by bank Swift and the signed contract from the Buyer.


* Buyer's documentation:
* Permit to Import, Signed End User Allocation and Import License from the authorities to enter the Terminal. Other to be determined.
